Legal & Compliance

About This Role

Part-time and side-engagement are fully welcome for this role. If you have deep legal expertise but aren't looking for a full-time position right now, we'd love to talk.

Calaris operates at the intersection of AI, personal data, and employment decisions. As we scale from Japan to APAC, the legal complexity grows: different privacy regimes (APPI, PDPA, PIPL), AI governance frameworks, employment discrimination laws, and enterprise contract requirements.

We need a legal & compliance professional who can navigate this landscape proactively. Calaris presents genuinely novel legal challenges: demonstrating AI assessment fairness in legally defensible ways, ensuring compliance when Capability scores influence hiring and promotion decisions across jurisdictions, designing Data Processing Agreements for enterprise clients, and resolving AI-generated data ownership questions.

The legal framework for AI-powered talent assessment is still being established globally — your work has the potential to shape industry standards, not just respond to them.

Responsibilities

  • Draft, review, and negotiate enterprise SaaS contracts, DPAs, and partnership agreements
  • Design and maintain privacy compliance frameworks for Japan and APAC markets (APPI, PDPA, GDPR considerations)
  • Develop AI governance policies — fairness, transparency, and accountability in AI-powered assessments
  • Advise on cross-border data transfer mechanisms and localization requirements
  • Support fundraising and corporate governance — term sheets, board documentation, cap table management
  • Monitor regulatory developments in AI, HR-tech, and employment law across target markets
  • Coordinate with external law firms for specialized matters

Expected Outcomes

1st Phase (0–3 months)

Complete a legal audit of current contracts and data practices. Draft or update DPA templates for enterprise clients. Establish a monitoring system for regulatory developments in target markets.

2nd Phase (3–6 months)

Build out the AI governance policy framework. Support any fundraising or major partnership agreement processes. Establish Calaris as a legally defensible operator of AI-powered talent assessment across APAC jurisdictions.

Requirements

  • 3+ years of legal experience — in-house, law firm, or regulatory body
  • Knowledge of Japanese data protection law (APPI) and contract law
  • Experience drafting and negotiating B2B SaaS or technology contracts
  • Ability to research and quickly get up to speed on emerging regulatory areas
  • Ability to communicate legal risks in business terms — not just 'this is risky' but 'here's how we mitigate it'

Nice to Have

  • Understanding of AI governance and the emerging regulatory landscape for AI
  • Experience with cross-border data transfer regulations (APAC jurisdictions)
  • Background in employment law or HR-tech regulatory matters
  • Experience supporting startup fundraising (Series A/B level)
  • Knowledge of AI fairness regulations (EU AI Act, EEOC guidelines, etc.)

Who You Are

  • Sees legal not as a blocker but as an enabler — designs frameworks that allow the business to move with confidence
  • Finds genuine intellectual interest in the uncharted legal territory of AI-powered human assessment
  • Proactive — identifies risks before they become problems and proposes solutions, not just warnings
  • Comfortable defining the answer when no precedent exists

AI-powered talent assessment is one of the most consequential — and most legally complex — applications of AI. You will be designing the legal guardrails that allow this technology to be used responsibly at scale. If you want to be at the frontier of AI law, not just reading about it, this is the place. Part-time or side-engagement is fully welcome. Let's start with a casual conversation.
